Terms of Service

Welcome to itshello.io (the "Service"), operated by Hello.io Technologies ("Hello.io", "we", "us"). These Terms of Service (the "Terms") are a binding agreement between you and Hello.io. By creating an account, checking the acceptance box at signup, or using the Service in any way (including texting or messaging one of our AI characters), you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

itshello.io is an AI conversation platform. We build and host AI personas ("characters") that converse with people over Apple iMessage, SMS, and connected channels such as Instagram, Facebook Messenger, and WhatsApp. Characters can send photos, voice messages, and links; sell digital content; book appointments; and, where explicitly enabled, take real actions on a user's behalf through connected third-party accounts (for example sending email or saving files to Google Drive) within the narrow permissions granted during the connection flow.

These Terms cover two kinds of users. Operators hold dashboard accounts and configure and run characters. End Users are people who message a character. If you text one of our character numbers, you are an End User and your phone number acts as your account identity. Both kinds of use are governed by these Terms.

2. Eligibility and your account

You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and have the legal capacity to enter into these Terms. If we learn that a user is under 18, we will terminate the account and delete associated data as described in our Privacy Policy.

Operators are responsible for everything that happens in their workspace: the personas they create, the content they upload, the messages their characters send, and the compliance of their outreach with applicable law. Keep your credentials private; you are responsible for activity under your account.

3. You are talking to AI

Characters are artificial intelligence. They are not real people, no matter how human the conversation feels. By using the Service you acknowledge and agree that:

• Replies are generated by AI models and may be inaccurate, incomplete, inappropriate, or entirely fabricated. Never rely on a character for medical, mental-health, legal, financial, or other professional advice.
• Characters are designed to be engaging and conversational. Any sense of friendship, intimacy, romance, or emotional connection with a character is a connection with software. Characters cannot love you, miss you, or have feelings, regardless of what the conversation suggests.
• The Service is entertainment and business software. It is not a substitute for human relationships, therapy, counseling, or crisis support of any kind.
• If you are experiencing thoughts of self-harm or suicide, stop using the Service and contact a crisis resource immediately. In the United States, call or text 988 (Suicide & Crisis Lifeline). If you are in immediate danger, call 911 or your local emergency number.

4. Assumption of risk

To the maximum extent permitted by law, you knowingly and voluntarily assume all risks arising from your use of the Service, including emotional or psychological effects of interacting with AI characters (such as attachment, distress, or disappointment), reliance on AI-generated content, and interactions or transactions you enter into as a result of conversations on the Service. You agree that Hello.io is not responsible for the way you or any third party chooses to use, interpret, or act on AI-generated conversations.

5. Acceptable use

You agree NOT to use the Service to:

• Break any law, or encourage or assist anyone else in doing so.
• Harm, threaten, harass, stalk, intimidate, defraud, defame, or exploit any person, or organize or promote violence or hatred against any person or group.
• Create, request, or distribute content that sexualizes minors in any form, or any other content that is illegal where you or we operate. This results in immediate termination and, where appropriate, referral to law enforcement.
• Encourage, glorify, or instruct self-harm, suicide, or eating disorders.
• Impersonate a real person without their documented consent, or create a character of a real person without the rights to do so.
• Send unsolicited messages, or message people who have not consented to be contacted. Operators are solely responsible for obtaining any consents required by law (including the TCPA and CAN-SPAM in the United States) for the contacts they message, and for honoring opt-outs immediately.
• Attempt to extract, jailbreak, or reverse-engineer the AI characters' underlying prompts, models, or safety systems.
• Spam, scrape, probe, or load-test the Service, or interfere with its operation or other users' use of it.
• Use any Google integration features in a way that violates Google's API Terms of Service.

6. Monitoring, safety, and enforcement

The Service processes message content to operate (that is how the AI replies). We additionally reserve the right, but not the obligation, to access, review, filter, and moderate any content and any conversation on the platform, by automated systems and by human review, for safety, security, legal compliance, abuse prevention, and quality purposes. Our Privacy Policy describes this in detail.

If we believe, in our sole discretion, that any use of the Service involves harm or threatened harm to any person (including self-harm), harassment, illegal activity, or a violation of these Terms, we may without prior notice: remove content, restrict features, suspend or permanently terminate accounts and phone-number access, preserve and disclose relevant information to law enforcement or emergency services, and take any other action we reasonably consider necessary. We may also contact emergency services where we believe someone is in imminent danger. You agree we have no liability for taking, or not taking, any such action.

7. Operator responsibilities

If you run characters on the Service, you additionally agree that you are solely responsible for: the lawfulness of your characters and content in every jurisdiction you operate in; clearly representing that your characters are AI where the law requires disclosure; obtaining all rights to the likenesses, voices, photos, and other materials you upload (including consent from any real person a character is based on); the conduct of your team members; and all taxes on revenue you earn through the Service. You will not target minors with your characters or content under any circumstances.

8. Content and licenses

Operators own the content they upload. You grant Hello.io a worldwide, non-exclusive license to host, store, process, reproduce, and transmit that content as needed to operate the Service. Content generated by the AI on your behalf may be used by you, subject to these Terms. We may remove any content at any time for the reasons in Section 6.

9. Connected accounts

When you connect a third-party account (Google, Meta, Stripe, Calendly, and others), you authorize us to perform the actions you request via that account, within the scopes granted during the connection flow. You can revoke Google access at any time at myaccount.google.com/permissions and other providers from their respective settings or from the Integrations page. You are responsible for the contents of any messages or actions you instruct the Service to perform through your connected accounts.

10. Payments, subscriptions, and refunds

Paid features include platform plans, dedicated phone lines (billed as recurring subscriptions), and content or subscriptions sold by Operators. Payments are processed by Stripe and subject to Stripe's terms. Subscriptions renew automatically until cancelled. Cancelling a line's subscription stops that character's ability to text. Refund requests can be sent within 14 days of purchase to info@itshello.io; refunds for Operator-sold content are at the relevant Operator's discretion and applicable law. We may change pricing with notice; changes apply at your next renewal.

11. Privacy

Our handling of your data, including the monitoring described in Section 6, is governed by our Privacy Policy, which is incorporated into these Terms by reference. Note in particular: conversations on the Service are not private from the platform or from the Operator whose character you are messaging.

12. Opting out and termination

End Users can stop any character from messaging them at any time by texting STOP. Operators can close their account from the dashboard or by emailing us. We may suspend or terminate any account or access immediately, with or without notice, for any violation of these Terms, suspected fraud or abuse, legal risk, or risk of harm to any person or to the Service. Sections that by their nature should survive termination (including 3, 4, 6, 13, 14, and 15) survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE, OR THAT ANY MESSAGE WILL BE DELIVERED. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLO.IO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR EMOTIONAL WELLBEING, ARISING OUT OF OR RELATED TO THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLO.IO IS NOT LIABLE FOR: (a) THE ACTS OR OMISSIONS OF ANY USER OF THE SERVICE, INCLUDING ANY OPERATOR OR END USER; (b) ANY MISUSE OF THE SERVICE BY ANY PERSON TO HARM, HARASS, DEFRAUD, OR DECEIVE ANY OTHER PERSON; (c) ANY EMOTIONAL OR PSYCHOLOGICAL EFFECT OF INTERACTING WITH AI CHARACTERS, INCLUDING ATTACHMENT, DEPENDENCY, DISTRESS, OR CLAIMS ARISING FROM A USER DEVELOPING FEELINGS FOR A CHARACTER; (d) SELF-HARM OR HARM BY OR TO ANY PERSON IN CONNECTION WITH USE OF THE SERVICE; AND (e) CONTENT OR CONDUCT ON THIRD-PARTY SERVICES REACHED THROUGH THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you; in that case our liability is limited to the smallest amount the law allows.

15. Indemnification

You agree to defend, indemnify, and hold harmless Hello.io and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your content; your use or misuse of the Service; your violation of these Terms or of any law; your violation of any third party's rights (including privacy, publicity, and intellectual-property rights); and, for Operators, any claim brought by a person your characters communicated with.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at info@itshello.io and attempt in good faith to resolve the dispute informally for 30 days. Disputes that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. To the extent permitted by law, each party waives the right to participate in a class action.

17. Changes

We may update these Terms from time to time. Material changes will be announced in the dashboard, by message, or on this page at least 14 days before they take effect. Continued use of the Service after a change means you accept the updated Terms.
